Terms of Service

Say Hi (sayhi.name, the “Service”) is operated by S31C LLC, doing business as United Effects Labs (“we”, “us”, “our”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind it, and “you” includes that organization. You must be at least 18 years old.

Beta service

The Service is in beta testing. Features may be added, changed, broken, or withdrawn at any time without notice. We make no commitments about uptime, support response, or the continued availability of any capability. Paid subscriptions taken during beta remain subject to these Terms, including the disclaimers and limitations below.

Accounts and access

You are responsible for your credentials and for all activity under your account. Information you provide must be accurate. We control access to the Service and may suspend, limit, or terminate any account or team at our discretion, including for violation of these Terms, risk to the Service or other users, or non-payment.

Fees

Certain features require a paid subscription. Fees are as presented at the time of purchase, billed through our payment processor, and may change with notice; a change applies from your next billing period. You are responsible for applicable taxes. Except where required by law, payments are non-refundable. A lapsed subscription suspends the associated paid features and does not, by itself, delete your data.

Your content

Content you provide to the Service, including credentials for third-party platforms you connect, information about your events and guests, and material you choose to print, remains yours. You grant us the license needed to host, process, and display it solely to operate the Service. You are responsible for having the rights, permissions, and consents required for the content and personal information you use with the Service.

Third-party platforms

The Service interoperates with third-party platforms and service providers, including platforms you choose to connect. Your use of those platforms is governed by their own terms, and we are not responsible for their availability, conduct, or data practices. If a connected platform changes or restricts its interfaces, related features of the Service may stop working.

Acceptable use

• No use that violates law or the rights of others
• No attempts to breach, probe, disrupt, or overload the Service
• No connecting accounts or registering people without authorization
• No reverse engineering, scraping, or reselling without our written agreement

Intellectual property and feedback

The Service, including its software, design, and content we provide, is owned by us and our licensors; these Terms grant you no rights in it beyond use of the Service. If you send us feedback or suggestions, we may use them without restriction or obligation.

Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECT WILL BE CORRECTED. YOU USE A BETA SERVICE AT YOUR OWN RISK.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS IF YOU HAVE PAID NOTHING.

Indemnification

You will defend, indemnify, and hold us harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your content, your events, or your violation of these Terms or of any law or third-party right.

Termination

You may stop using the Service and cancel any subscription at any time. We may terminate or suspend as described above. Upon termination your right to use the Service ends; sections that by their nature should survive (including Fees, Disclaimer, Limitation of Liability, and Indemnification) survive. You may request deletion of your data as described in the Privacy Policy.

Changes to these Terms

We may modify these Terms at any time. Material changes will be posted on the site, and the date above will be updated. Your continued use of the Service after a change takes effect constitutes acceptance. If you do not agree, stop using the Service.

General

These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, and disputes belong exclusively to the state and federal courts located in Philadelphia, Pennsylvania. We are not liable for delay or failure caused by events beyond our reasonable control. If a provision is unenforceable, the rest remain in effect; our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
